1. Agreement to these Terms
These Terms of Service (the “Terms”) are an agreement between you and CoreBit Labs, LLC, a Wyoming limited liability company, operating TactiFlag (“TactiFlag,” “we,” “us,” or “our”). They apply to the TactiFlag websites, applications, and related services (collectively, the “Service”). By creating an account, accepting an invitation, purchasing a subscription, or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and authority
You must be at least 18 years old, have reached the age of legal majority where you live, and be able to enter a binding agreement. If you use the Service for a team, league, school, club, or other organization, you represent that you have authority to act for it and that your use complies with its policies.
TactiFlag accounts are for adult coaches and authorized team personnel. Children may view a play through a coach-controlled sharing link, but children may not create accounts.
3. Accounts and security
- Provide accurate account information and keep it current.
- Keep your password, magic links, invitation links, and shared-play links secure.
- Do not share an individual account. Use team invitations for assistant coaches.
- Tell us promptly if you believe an account or private link has been compromised.
You are responsible for activity performed through your account unless you promptly report unauthorized access.
4. Teams, players, and youth information
The Service lets authorized adults maintain rosters, player-development notes, practices, playbooks, and game information. Before entering information about a player—especially a minor—you must have authority from the player, parent or legal guardian, team, league, school, or other organization, including any consent required by law or organizational policy.
Only enter information reasonably needed for coaching. Do not enter medical records, government identifiers, financial information, precise home addresses, or other highly sensitive information. For youth rosters, use a first name, initials, or team identifier when a full legal name is unnecessary.
You are responsible for deciding who joins your coaching staff and who receives a player-facing link. Remove access and revoke links when they are no longer needed.
5. Your coaching content
You retain ownership of play diagrams, practice plans, notes, rosters, and other content you submit (“Coach Content”). You give TactiFlag a limited, non-exclusive license to host, copy, process, transmit, display, and back up Coach Content only as needed to operate, secure, improve, and support the Service.
You represent that you have the rights and permissions needed to submit Coach Content. You must not upload content that infringes another person’s rights, violates privacy, breaks the law, or exposes information you are not authorized to use.
6. AI-assisted features
Some features may use artificial intelligence to organize coaching input or suggest plays. AI output can be incomplete, inaccurate, or unsuitable for your team. It is decision support—not a substitute for a coach’s judgment. You are responsible for reviewing suggestions before using them and for all final play calls, player assignments, safety decisions, and communications.
Do not place confidential medical information or other highly sensitive personal information into an AI prompt. Our Privacy Policy explains how selected information is processed when you request an AI feature.
7. Acceptable use
You may not:
- Use the Service unlawfully, deceptively, abusively, or to harass or endanger another person.
- Attempt to access another team’s data without authorization.
- Probe, disrupt, overload, reverse engineer, scrape, or bypass security or usage controls except where law expressly allows it.
- Upload malware or use the Service to distribute spam.
- Resell, sublicense, or commercially exploit the Service except under a written agreement with TactiFlag.
- Use automated output as the sole basis for a decision that could significantly affect a child or other person.
8. Free and paid plans
TactiFlag may offer Free and paid plans. Before a purchase, we will display the applicable price, billing period, included features, and any trial terms. Subscriptions renew automatically unless canceled through the provider that billed you, such as Apple, Google Play, or our web billing provider.
Canceling auto-renewal stops future renewal; it does not end an already-paid subscription term. Access ordinarily continues through the paid-through date. Refunds are handled under the billing provider’s rules and applicable law. Deleting a TactiFlag account does not automatically cancel a store subscription, so you must cancel it with the billing provider as well.
9. The Service and changes
We may add, change, suspend, or retire features. We will try to provide reasonable notice before a material change that significantly reduces a paid feature. The Service may occasionally be unavailable because of maintenance, network conditions, third-party outages, or events outside our control. We do not promise that the Service will always be uninterrupted or error-free.
Game Day tools should not be your only copy of information you need on the sideline. Keep an appropriate offline or printed backup for critical situations.
10. TactiFlag materials
The Service, software, interface, brands, logos, templates, and documentation—excluding Coach Content—are owned by TactiFlag or its licensors and protected by intellectual-property laws. These Terms give you a limited, personal, revocable, non-transferable right to use the Service while your account is active.
Feedback is voluntary. If you send feedback, you allow us to use it without restriction or compensation, but we will not identify you publicly without permission.
11. Third-party services
The Service relies on providers for hosting, authentication, email delivery, artificial intelligence, app-store purchases, and subscription administration. Their services may be governed by separate terms. TactiFlag is not responsible for third-party services outside our control, but we select providers to support the Service and require appropriate protection of personal information as described in our Privacy Policy.
12. Suspension, termination, and deletion
You may stop using the Service at any time and may request deletion of your account. We may restrict or suspend access when reasonably necessary to protect users or the Service, investigate misuse, comply with law, or address a material violation of these Terms. When practical, we will provide notice and a chance to resolve the issue.
After termination, provisions that by their nature should continue will survive, including ownership, payment obligations, disclaimers, limits on liability, and dispute provisions.
13. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” TactiFlag disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee wins, player performance, team safety, scouting accuracy, or any particular result from a play, practice plan, recommendation, or AI output. Nothing in these Terms limits a warranty or right that cannot lawfully be excluded.
14. Limitation of liability
To the fullest extent permitted by law, TactiFlag and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities arising from the Service.
To the fullest extent permitted by law, TactiFlag’s total liability for claims relating to the Service will not exceed the greater of (a) the amount you paid TactiFlag for the Service during the 12 months before the event giving rise to the claim or (b) US $100. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
15. Responsibility for claims
To the extent permitted by law, you will defend and indemnify TactiFlag from third-party claims, losses, and reasonable costs arising from your Coach Content, your unauthorized use of player information, your violation of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim resulted from TactiFlag’s own misconduct.
16. Disputes and applicable law
Before filing a formal claim, you and TactiFlag agree to try in good faith to resolve the issue by email for at least 30 days. These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where consumer-protection law requires otherwise. Claims must be brought in a court with proper jurisdiction unless both sides agree to another process.
17. Changes to these Terms
We may update these Terms as the Service changes. We will post the new version and effective date. If a change materially affects your rights, we will provide additional notice and request renewed acceptance when appropriate. Continued use after the effective date of a non-material update means you accept the updated Terms.
